Important Notice: Please read these Terms & Conditions carefully before installing, accessing, or using the Kayz Connect mobile applications (iOS and Android) or website. Your access to and use of our services is conditioned upon your acceptance of and compliance with these Terms.

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "Professional", "Celebrity", or "you") and Kayz Connect Limited ("Company", "we", "us", or "our"), a company registered in the United Kingdom and regulated by the Information Commissioner's Office (ICO). These Terms govern your use of the Kayz Connect website, the Kayz Connect mobile applications for iOS and Android devices, and all associated communication services, tools, and functionalities provided through our platform (collectively, the "Platform").

1. Platform Description & User Categorisation

Kayz Connect Limited is a technology and communication infrastructure provider that facilitates real-time voice and video connections. The Platform provides distinct services for three main categories of users:

• Standard Users: Individual users utilizing the Platform to place identity-verified, complimentary (free) calls to other registered users.
• Professionals: Individuals, consultants, practitioners, or business entities providing specialized knowledge, advice, or consultative services across the group on a paid, per-minute basis.
• Celebrities: Public figures, creators, influencers, or notable individuals offering engagement, video, or voice interactions to fans on either a free or a premium, paid-per-minute basis.

2. Eligibility and Account Registration

To access the Platform, you must create a registered account. By creating an account, you represent and warrant that:

• You are at least 18 years of age and possess the legal capacity to enter into a binding contract under UK law.
• You agree to provide accurate, current, and complete information during registration and to keep your account details updated.
• You are solely responsible for maintaining the confidentiality of your account credentials (username, password, or verification tokens) and for all actions, transmissions, and monetary transactions that occur under your account.

3. Specific Financial Terms for Professionals & Celebrities

Professionals and Celebrities who wish to charge fees for consultations or fan interactions must comply with the following mandatory financial integration rules:

3.1. Stripe Integration Requirement

To enable payouts, all Professionals and Celebrities must successfully connect, configure, and maintain an active Stripe merchant account through our designated onboarding workflow during sign-up. Payouts cannot and will not be processed via any alternative methods.

3.2. Revenue Sharing and Fees

The billing rates for paid interactions are calculated strictly on a pay-per-minute or fixed pay-per-interaction basis, as configured by the Professional or Celebrity. Kayz Connect Limited deducts a platform service fee from the gross fees generated by the interaction before the remaining funds are distributed to the provider's Stripe account. All detailed platform commission rates are displayed transparently in the platform dashboard prior to configuration.

3.3. Payout Processing and Taxes

Payouts are processed directly into your linked bank account via Stripe, subject to Stripe's terms of service and standard processing schedules. Professionals and Celebrities operate strictly as independent contractors and are solely responsible for calculating, reporting, and remitting any applicable income tax, VAT, or local levies due to HM Revenue & Customs (HMRC) or relevant international tax authorities.

4. Verified Calling & Acceptable Use

All users must complete identity verification (including a government-issued photo ID) before they may place or receive calls on the Platform. Verification exists to keep the Platform safe and accountable, not to conceal misconduct. All users are bound by our Acceptable Use Policy. You strictly agree not to use the Platform to:

• Abuse & Harassment: Harass, abuse, stalk, threaten, or defame any individual, group, professional, or celebrity.
• Prohibited Content: Transmit, request, or distribute content that is unlawful, obscene, fraudulent, harmful, or sexually explicit.
• Deception & Impersonation: Engage in deceptive practices, misrepresent your identity or credentials (especially as a certified Professional), or impersonate any other person.
• Manipulation: Artificially inflate call durations or engage in fraudulent activities to manipulate the pay-per-minute billing metrics.

Kayz Connect Limited retains the absolute right to suspend or permanently terminate accounts found in violation of these provisions, and where required, cooperate fully with UK law enforcement agencies.

5. Disclaimers & Limitation of Liability

The Platform is provided on an "as-is" and "as-available" basis. Kayz Connect Limited does not review, verify, or endorse the advice, guidance, statements, or consultations provided by any Professional or Celebrity utilizing the Platform. The Company acts purely as a technological pipeline and communication host.

To the maximum extent permitted under applicable UK law, Kayz Connect Limited shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of:

• Your reliance on advice obtained during a paid consultation.
• Technical service interruptions, call drops, or data loss occurring via the iOS, Android, or web interfaces.

6. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by, and construed in accordance with, the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising under these Terms.
